PELLERANO NADAL represents Barrick Gold in a Private Placement with Precipitate Gold Corp. for Proceeds of C$1,398,500.
On April 2020, PELLERANO NADAL acted as local counsel for Barrick Gold Corporation (“Barrick”) in its investment in Precipitate Gold Corp. (“PGC”), in which both companies and certain affiliates entered into an earn-in agreement pursuant to which Barrick has been granted the exclusive right to acquire a 70% interest in PGC’s Pueblo Grande Project in the Dominican Republic on the terms and conditions set out in the agreement. PELLERANO NADAL team was led by Managing Partner, Luis R. Pellerano, Senior Counsel, Urania Paulino, and Associate Daniella Pellerano. The transaction also included entering into a subscription agreement pursuant to which Barrick agreed to acquire 12,713,636 Common Shares on the terms and conditions set out in the agreement for an aggregate amount of C$1,398,500, representing 12.02% of the outstanding Common Shares (calculated on a non-diluted basis). The closing of the subscription is subject to approval of the TSX Venture Exchange.
Barrick is making the acquisition for investment purposes and may, from time to time, subject to an agreement between both parties, acquire additional Common Shares or other securities of PGC or dispose of some or all of the Common Shares or other securities of PGC that it owns at such time.
